This document is part of the TNC Ecosystem Standard Protocol. It must be presented with the exact incorporated versions identified in the acceptance receipt. PURPOSE This Electronic Records & Signature Consent explains the terms for receiving, accessing, signing, acknowledging, and retaining TNC agreements, notices, authorizations, approvals, receipts, and other records electronically. Electronic-record consent is separate from consent to promotional automated calls or texts, recording or transcription, sensitive-data processing, identifiable publicity, or any other regulated activity that requires a separate consent. 2. CONSENT TO ELECTRONIC RECORDS By affirmatively accepting this Consent, the participant agrees that TNC may provide the records within scope electronically through an authenticated portal, secure link, email, or another disclosed electronic method. The participant may use an electronic signature, click, checkbox, typed name, authenticated action, or other method that TNC identifies as having signing or acknowledgment effect. 3. RECORDS WITHIN SCOPE Electronic records may include: the TNC Ecosystem Standard Protocol and incorporated documents; Network Portal Terms; action-specific agreements, schedules, authorizations, consents, and approvals; job, search, candidate, service, package, event, or relationship records; invoices, payment references, receipts, credits, and billing notices; privacy, security, communications, recording, accessibility, and legal notices; amendments, renewals, nonrenewal notices, withdrawals, and reacceptance requests; and copies, confirmations, and audit receipts. 4. HARDWARE AND SOFTWARE REQUIREMENTS To receive and retain electronic records, the participant must have: a device with reliable internet access; a current browser capable of using the applicable TNC portal or secure link; an active email address and, when used, an active telephone number; software capable of viewing and saving or printing PDF or comparable records; and sufficient electronic storage or access to a printer. TNC may update these requirements. If a material change creates a substantial risk that the participant cannot access records, TNC will provide notice and obtain renewed consent when required. 5. ACCESS AND REPRODUCIBLE COPIES Before or at acceptance, the participant must be able to access the exact record and obtain a reproducible copy. TNC will provide or make available a copy of the accepted record and receipt. A visible success message without the exact source, integrity reference, actor, authority, intent, timestamp, and durable receipt is not a completed electronic acceptance. 6. ELECTRONIC SIGNATURE EFFECT An electronic signature or authenticated acceptance has the same intended legal effect as a handwritten signature to the extent permitted by law. The participant agrees not to challenge a record solely because it is electronic. This clause does not prevent a challenge based on identity, authority, fraud, coercion, mistake, version mismatch, lack of intent, missing receipt, or another legally recognized basis.TWELVE NINETY CONNECTIONS | TNC ECOSYSTEM STANDARD PROTOCOL Electronic Records Consent | v1.1 Page 3 of 3 7. CONTACT INFORMATION The participant must keep email, telephone, organization, title, authority, and account information current. A notice sent to outdated information supplied by the participant may be treated according to the applicable agreement and law. 8. PAPER COPIES The participant may download or print records at no charge using ordinary portal functions. A participant may request a paper copy through the contact method below. TNC will disclose any permitted charge before fulfilling a special paper-copy request; no charge applies where prohibited. 9. WITHDRAWAL OF ELECTRONIC-RECORD CONSENT The participant may withdraw this Consent prospectively through the authenticated portal or a written request that identifies the participant, organization, relationship, and affected records. Withdrawal does not invalidate an electronic record validly accepted before withdrawal. Withdrawal may prevent activation or continued use of a relationship that requires electronic records. TNC will state the consequence before applying it and will not misrepresent withdrawal as acceptance of another term. 10. DECLINING CONSENT A participant who declines this Consent will not complete electronic activation. TNC may offer a lawful paper or alternative process, but is not required to offer an alternative where the relationship is designed to operate electronically and applicable law does not require one. 11. RECEIPTS AND AUDIT EVIDENCE TNC may preserve identity, authority, exact version, source, integrity, access, consent, intent, timestamp, session, trace, device, authentication, and reproducible-copy evidence. The acceptance receipt controls the recorded state. 12. CHANGES AND RECONSENT Material changes must be versioned and presented for renewed consent when required by law, contract, risk, or TNC policy. Prior records and receipts remain preserved and are not silently rewritten. 13. GOVERNING LAW AND MANDATORY RIGHTS Kansas law, including applicable electronic-transactions law, governs unless an applicable Network or action instrument states otherwise. Federal electronic-signature law and mandatory rights that cannot lawfully be waived remain applicable. 14.
